I promise that by downloading, submitting, transferring and/or uploading any materials to this website (“My Submitted Items”) that I 100% own My Submitted Items and have the 100% right to allow Slugworth, Incorporated, a Kansas corporation (together with its shareholders, directors, officers, representatives, subsidiaries, affiliates, sponsors, successors, assigns, heirs and licensees (collectively, “you” or “your”)) to exploit (including, but not limited to using, editing and/or publishing) in any way you see fit My Submitted Items, as well as my name without any liability or obligations to me or anyone else. I grant to you an irrevocable, unconditional, non-exclusive worldwide right to exploit (including, but not limited to, using, editing and/or publishing) My Submitted Items in any way you desire, in whole or in part, on websites, in printed materials, including, without limitation, books, in electronic or any other media now or hereafter known or created as well as in any and all related products or services, without limitation at all, forever and anywhere in the world, as well as in advertising, publicity and promotional materials related thereto. You may change My Submitted Items in absolutely any manner that you want and use them in any way that you want, in whole or in part, without any obligation to me whatsoever. Without in any way limiting the scope of the rights granted to you and my release of you from any obligation to me whatsoever, I specifically waive any right to royalties or any other remuneration resulting from your use of My Submitted Items.
I promise that I have the right to enter into this Agreement, and without the consent of anyone else, the right to grant the use of My Submitted Items to you. On behalf of myself, my heirs, successors and assigns, I irrevocably promise that I will not bring a claim or lawsuit against you, and I will not consent to anyone else bringing a claim or lawsuit against you in any way connected to the rights that I have granted to you under this Agreement.
I will indemnify and hold you harmless from and against any and all claims, damages, liability, cost and expenses, including, but not limited to reasonable attorney fees, in any way relating to a breach of my promises stated in this Agreement.
Under no circumstances will you be liable for damages of any kind, including, without limitation, direct, indirect, incidental, consequential or punitive damages, arising out of or in any way related to the use of your websites including, but not limited to the use, in whole or in part, whether modified or in original form, of My Submitted Items.
This Agreement is governed by and construed in accordance with the laws of the State of Kansas, USA. Any dispute arising out of this Agreement or otherwise in connection with your websites or My Submitted Items shall be submitted exclusively to the District Court of Johnson County, Kansas, USA where I agree to submit to jurisdiction and venue.
This Agreement constitutes the entire understanding between you and I.
This Agreement shall be binding upon and inure to the benefit of our respective heirs, administrators, representatives, executors and assigns. You may assign your rights and my obligations under this Agreement in any way you see fit. I may not assign my rights and/or obligations under this Agreement. In the event that a court of competent jurisdictions determines that one or more items contained in this Agreement are unenforceable, then I agree that such items shall be rewritten by such court so that they are enforceable to the greatest extent allowed by law. Any item that is unenforceable shall not make any other item or the remainder of this Agreement unenforceable, and all remaining portions shall be in full force and effect.
I have read this Agreement and I fully understand everything that it says. I am entering into this Agreement freely and without any pressure whatsoever. I accept each and every one of the terms of this Agreement by clicking the box indicating so. The printed version of this Agreement, from its electronic format, shall be admissible in any court proceedings. My agreement to these terms is meant to be a full and complete release of any claims I may have against you whatsoever, as well as the grant to you now and forever (on a non-exclusive basis) of any and all intellectual property rights that exist whatsoever in My Submitted Items.
